Terms & Conditions – “Affiliate Program 2025”

Policy Brief & Purpose

This policy defines the rules and eligibility criteria for Quiqup’s Affiliate Program (“Program”). The Program allows approved individuals and companies (“Affiliates”) to promote Quiqup’s services and earn commission on new clients they refer.The purpose of this Program is to reward affiliates fairly, ensure transparent payouts, comply with UAE legal standards, and protect Quiqup’s brand and operations.

Scope

1. The Program is open to any individual or company who signs up, accepts these Terms & Conditions, and is approved by Quiqup.
2. The Program applies to referrals made before October 15, 2025.
3. Once a referred client qualifies, Affiliates receive commission for up to 12 months from that client’s first order or stock inbound.
4. The Program may close after October 15, 2025, but commission obligations will continue for the full 12-month period for already qualified referrals.

Commission Structure

What is the offer?
1. Affiliates earn a flat 4% commission on verified net revenue generated in the first 12 months from each qualified referred client.
2. “Net revenue” means revenue exclusive of VAT, returns, chargebacks, credits, or discounts.
3. Commission is paid quarterly via:
- Bank transfer (for licensed companies issuing invoices), or
- Referral Payment Voucher (for individuals without a trade license).
4. At Quiqup’s discretion, credit notes or equivalent non-cash rewards may be offered instead of cash.

Eligibility of Referred Clients

To qualify for commission, referred clients must:Be a new client to Quiqup (no prior signed contract or completed orders).
1. Hold a valid UAE trade license.
2. Operate in industries aligned with Quiqup’s services (no perishable goods, alcohol, bulky items >20kg, or prohibited/restricted items).
3. Fulfilment referrals: stock must be successfully inbounded into Quiqup fulfilment centres by October 15, 2025.
4. Last Mile Delivery referrals: client must complete their first delivery order by October 15, 2025.

Affiliate Obligations & Disclosures

1. Affiliates must:Disclose their affiliate relationship when promoting Quiqup, in line with UAE fair marketing and advertising regulations. Required wording:
“As a Quiqup Affiliate, I may earn a referral commission.”
2. Comply with all applicable UAE laws, including licensing, tax, consumer protection, and advertising requirements (e.g. obtaining a trade license or influencer permit if required by law).
3. Not misrepresent Quiqup’s services, create fake accounts, or engage in fraudulent, misleading, or manipulative activity.
4. Not misuse Quiqup’s intellectual property, trademarks, or confidential information.
5. Avoid offering or accepting any bribe, inducement, or improper payment in connection with the Program.
6. Not act on behalf of Quiqup or present themselves as employees, partners, or agents. Affiliates remain independent contractors at all times.

Affiliates who are also Quiqup employees, contractors, or partners may participate provided that:
1. They disclose their status when applying.
2. They do not misuse internal or confidential information to generate referrals.

Customer Relationship

1. All referred customers are clients of Quiqup only.
2. Affiliates may not handle or service customer issues, and must direct all customer queries to Quiqup.

Payment & Invoicing

1. Licensed companies must issue a valid invoice to Quiqup to receive commission. If VAT-registered, invoices must include applicable 5% VAT.
2. Individuals without trade licenses will be paid through a Referral Payment Voucher, issued by Quiqup Finance. Affiliates are responsible for their own licensing and tax compliance.
3. Quiqup may withhold payments if required by law.
4. Payouts are processed quarterly, within 30 days after quarter-end.

Confidentiality

Any non-public information received from Quiqup is confidential and must not be disclosed or used except to perform under this Program. This obligation continues for 3 years after termination of participation.

Intellectual Property

Quiqup grants Affiliates a limited, revocable, non-exclusive license to use Quiqup’s name, logo, and promotional materials solely for the purpose of referral under this Program. Affiliates must comply with Quiqup’s branding instructions and must not modify or misuse any materials. This license ends immediately upon termination of participation.

Term & Termination

1. This Agreement takes effect upon acceptance into the Program.
2. Quiqup may terminate or suspend any Affiliate’s participation at any time, with or without cause, including for breach, fraud, misuse, or reputational risk.
3. Affiliates may terminate their participation by written notice.
4. Upon termination, all rights under this Program end immediately, except obligations relating to confidentiality, taxes, disputes, and liability caps, which survive.

Disclaimers & Limitation of Liability

1. The Program and all related materials are provided “as is” and “as available”. Quiqup makes no warranties about potential income, availability, or results.
2. Quiqup is not liable for indirect, incidental, special, or consequential damages.
3. Quiqup’s aggregate liability under this Program will not exceed the total commission actually paid to the Affiliate in the 12 months preceding the claim.
4. Affiliates are solely responsible for identifying and resolving any potential conflicts of interest that may arise from their participation in the Quiqup Affiliate Program, ensuring full compliance with all applicable laws and internal policies.

Indemnification

Affiliates agree to indemnify and hold harmless Quiqup, its affiliates, employees, and officers against all claims, damages, fines, or expenses arising from:
1. Affiliate’s breach of these Terms,
2. Affiliate’s unlawful marketing, misrepresentation, or misconduct, or
3. Affiliate’s failure to comply with applicable tax, licensing, or advertising laws.

Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Taxes

Affiliates are solely responsible for any taxes, duties, license fees, or registration obligations arising from participation in this Program. Quiqup may request documentation (e.g. trade license, VAT registration) and withhold payments if required under UAE law.

Modification

Quiqup may amend these Terms at any time by providing at least 7 days’ notice. Continued participation after the effective date of changes constitutes acceptance of the modified Terms.

Independent Contractor Status

Participation in this Program does not create any employment, partnership, agency, franchise, or joint venture relationship between Quiqup and the Affiliate. Affiliates act as independent contractors and have no authority to bind or represent Quiqup.

Additional Terms

1. Quiqup reserves the right to audit referrals to detect fraud, duplicate accounts, or misuse.
2. Quiqup may amend, suspend, or terminate the Program at any time with reasonable notice.
3. Commission from this Program cannot be combined with other discounts, promotions, or referral incentives.
4. Credit notes can only be applied to outstanding or future invoices of active Quiqup clients.
